This website (cogniti.ai, app.cogniti.ai) (collectively, the “Services”) is owned and operated by The University of Sydney (“we”, “our”, “us”). Please read these Terms of Service (“Terms”) carefully. Your use of our Services in any manner means that you agree to the Terms. If you do not agree with these Terms, you may not access or use our Services.

Our Services

As you use our Services, we will learn more about how to make artificial intelligence more helpful. As part of this, you accept that:

  • We may analyse the content of your conversations as well as other metadata to better understand user behaviour, needs, preferences, and trends. These insights will be used to improve our existing Services and inform the development of new features and Services. Our uses of this data are detailed in our Privacy Policy.
  • Any information you receive from our Services may not be accurate or otherwise trustworthy. Do not rely on this information without fact-checking on your own or consulting with other trusted sources.

Registering for our Services

You register for our Services by logging in through certain third-party authentication platforms. In doing so, you agree to provide us with complete and accurate registration information. You may not attempt to impersonate another person.

You agree to be responsible for the security of your account. You accept that you are solely responsible for all activities that take place through your account, and that failure to limit access to your devices or browser may permit unauthorised use by third parties.

Acceptable use

You agree that you will use our Services in accordance with the following rules, as well as any other written policies we may provide:

  • You must use our Services in compliance with the law.
  • You may not use our Services to generate harmful, fraudulent, abusive, discriminatory content.
  • You may not use our Services to infringe or violate the rights of others.
  • You may not attempt to disable, disrupt, or otherwise subvert the security of our Services.
  • You may not attempt to reverse engineer, decompile, or otherwise attempt to obtain the underlying models, algorithms, or source code of our Services.

Content

During your use of our Services, you will input text and other media (“Content”). You agree that you will not input any content that is not owned by you during your use of our Services, unless you have prior written consent from the relevant rights holder of that Content.

While you will own any Content, you agree to provide a royalty-free, perpetual, irrevocable, and worldwide licence to us to the Content for the following limited purposes:

  • You grant us a licence to use, reproduce, modify, or otherwise act on the Content to enable us to provide and maintain our Services.
  • You grant us a licence to use the Content to improve our Services. This includes but is not limited to analysing your conversations to develop new features and evaluate the performance of our Services.

Links to other web sites

Our Service may contain links to third-party web sites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.

Intellectual property

These Terms do not provide you with any right, title, or interest in our Services, our trademarks, or other intellectual property owned by us.

Indemnification

As a condition of your access to and use of the Service, you agree to indemnify us and our successors and assigns for all damages, costs, expenses and other liabilities, including but not limited to legal fees and expenses, relating to any claim arising out of or related to your access to and use of the Service or your breach of these Terms and any applicable law or the rights of another person or party.

This section survives the expiration of your registration, and applies to claims arising both before and after the registration ends.

Limitation Of Liability

You agree that we shall not be liable for any damages suffered as a result of using the Service.

In no event shall we be liable for any indirect, punitive, special, incidental or consequential damage (including loss of business, revenue, profits, use, privacy, data, goodwill or other economic advantage) however it arises, whether for breach of contract or in tort, even if it has been previously advised of the possibility of such damage.

You have sole responsibility for adequate security protection and backup of data and/or equipment used in connection with your usage of the Service and will not make a claim against for lost data, re-run time, inaccurate instruction, work delays or lost profits resulting from the use of the Service.

Without limiting the foregoing, in no event will our aggregate liability to you exceed, in total, $100 Australian dollars.

Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

We and our subsidiaries, affiliates, and licensors do not warrant that (a) the Service will function uninterrupted, secure or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results of using the Service will meet your requirements.

This disclaimer of liability applies to any damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft, or destruction or unauthorised access or, alteration of or use of record in connection with the use or operation of the Service, whether for breach of contract, tortious behaviour, negligence or any other cause of action.

We make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability or availability with respect to the content contained on the Service for any purpose. Any reliance you place on such information is therefore strictly at your own risk. We disclaim any express or implied warranty representation or guarantee as to the effectiveness or profitability of the Service or that the operation of our Service will be uninterrupted or error-free. We are not liable for the consequences of any interruptions or error in the Service.

Terminating your account

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

All provisions of the Terms which by their nature should survive termination shall survive termination.

Changes to these Terms

It is your sole responsibility to periodically check these Terms for any changes. If you do not agree with any of the changes to these Terms, it is your sole responsibility to stop using the Service. Your continued use of the Service will be deemed as your acceptance thereof.
